Terms and risk
SUBSIDIARIES is an experiment. It is offered with no guarantees of any kind, and anything launched or traded through it is done entirely at your own risk. Read this before you spend anything. Using the site means you accept all of it. You launch tokens, you trade, you pay every fee, and you carry every loss. Not us.
1. Acceptance
By accessing, connecting a wallet to, or using SUBSIDIARIES (the "site"), you agree to every term below. If you do not agree with any part of it, do not use the site. These terms are a binding agreement between you and the operators of the site (the "operators", "we", "us"). If you use the site on behalf of an entity, you represent that you have authority to bind that entity.
You accept these terms again, explicitly and in writing, every time you sign in: the message your wallet signs states that you have read and accept these terms in full, including that the operators accept no liability whatsoever and that you pay every fee. That signature is your written acceptance.
2. This is an experiment, with no guarantees
SUBSIDIARIES is an experiment. It is unfinished, experimental software running on an experimental chain, and it is provided purely for entertainment. It comes with no guarantees, promises, warranties or assurances of any kind: not of uptime, accuracy, value, safety, permanence, profit, or that it will work at all or continue to exist.
Anything listed, launched or traded through it is done entirely at your own risk, with no guarantee whatsoever. Tokens can go to zero, features can change or vanish, data can be wrong, and the whole thing can break or be shut down at any time. Treat every part of it as an experiment you may lose everything on, because it is.
3. What this software does
SUBSIDIARIES is an index, a scoreboard and a message board. It reads publicly available blockchain and market data, records which wallet has claimed which plot and what name it gave the company there, records who has joined or followed which company and what they have posted, records which token a company has connected, and displays the result as a map and as tables. That is the entire function of the site.
4. What it does not do
It does not custody, hold, transmit, escrow or control any funds or digital asset at any time. It does not create, mint, issue, underwrite, promote or sell any token. It does not operate an exchange, a broker, a dealer, a market maker or a liquidity pool. It does not take a fee, a commission, a royalty or a share of any transaction. It requests no token approval and no spending authority, and it will never ask you to sign a transaction that moves funds in order to use it.
Connecting a wallet here produces a signature over a plain text message. That signature proves control of an address and authorises nothing else. Where the site offers to prepare a launch transaction for your wallet, the transaction goes from your wallet directly to a third-party contract; the site is not a party to it, does not relay it, and receives nothing from it.
5. You pay every fee. We charge nothing and reimburse nothing
Everything you do on chain costs money, and that money is yours to pay. You are solely responsible for all gas fees, network fees, launch fees, trading fees, swap fees, slippage, priority fees, failed-transaction gas, and every other cost of any kind incurred when you launch a token, connect a token, buy, sell, bridge, or make any transaction connected in any way to this site.
We do not pay, subsidise, advance, refund, rebate or reimburse any fee or cost, ever, for any reason. We receive none of these fees. A transaction that fails, reverts, is filtered, is voided, or burns gas with no effect is your cost alone. If you spend gas launching a token that you then cannot connect, cannot sell, or that goes to zero, that is your cost alone. We owe you nothing in respect of any amount you have spent.
6. You launch tokens at your own risk
If you create, deploy or launch a token, you do so entirely on your own initiative, on a third-party launchpad (Pons) on a third-party chain (Robinhood Chain), using your own wallet and your own funds. You alone decide to launch, you alone pay for it, and you alone bear every consequence of it. This is true whether you launch on the launchpad directly or through a transaction this site helped your wallet prepare.
We do not launch tokens for you, do not instruct you to launch, do not control the launchpad, and are not a party to your launch. You are solely responsible for what you launch, for its name, symbol, artwork, supply and behaviour, for any representation you make about it, and for whether launching or promoting it is lawful where you and your buyers are. Any loss, fee, tax, penalty, dispute or liability arising from a token you launch is yours and not ours.
7. Tokens are made by other people
Every token connected to a company on this site was created by an independent third party through Pons, a launchpad on Robinhood Chain operated by others. The operators of this site did not create those tokens, do not control them, cannot alter or freeze them, cannot recover them, and have no relationship with the people who made them.
Showing a token on a company page is a factual record that someone connected it. It is not a recommendation, an endorsement, a verification of the people behind it, or any opinion on its value.
8. No connection to any real company or stock
Company names, company tickers, and the stock names and stock tickers that companies are filed under identify positions in a game. No company on this site is affiliated with, endorsed by, sponsored by or connected to Apple, NVIDIA, Tesla, or any other issuer whose name or ticker appears here, nor with any exchange, nor with Robinhood, Robinhood Markets or the operators of Robinhood Chain. Nothing here is a security, a share, a derivative, a tokenised stock, or a claim on any real company, and no figure on this site is the price of any real security.
The list of stocks a company may file under is a fixed set of names used as the pieces of a game, in the way a board game names its squares. Choosing one grants nothing, represents nothing, and means nothing outside the game.
9. "Subsidiary" is game vocabulary
The site calls a company a "subsidiary" of the stock it files under. That word, like "company", "founder", "CEO" and every other title on the site, is the vocabulary of a game. It creates no legal entity, no corporate relationship, no ownership, no agency, no partnership and no joint venture between anyone, and none between any player and any real company.
10. Trademarks belong to their owners
Stock names and tickers, and any other names or marks that appear on this site, belong to their respective owners. They are used to identify positions in a game and for no other purpose. No endorsement, sponsorship or affiliation is implied by their appearance, and none exists. The site does not claim any right in them.
11. Your content
Anything you put on the site is yours and your responsibility: company names, tickers, descriptions, logos, websites, social links, titles, announcements, applications and messages in a community room. You represent that you have the right to post it, that it infringes nobody's rights, that it is not unlawful, deceptive, abusive or harmful, and that it does not impersonate any person or organisation. A company name that suggests a connection to a real company you do not control is a breach of these terms.
You grant the operators a non-exclusive, worldwide, royalty-free licence to store, display and distribute your content as part of running the site. The operators may remove, edit or refuse any content at any time for any reason and without notice, and are not obliged to store it, back it up or return it. The operators do not pre-screen content and are not responsible for what other users post.
12. Roles and employment are game mechanics
Joining a company, holding a role in its hierarchy, being promoted, being removed, applying for a job, reviewing an application and handing over the CEO seat are mechanics of a game. None of them creates employment, an office, a directorship, a contract, a fiduciary duty, a right to payment, or any legal relationship of any kind between anyone. Titles are labels in a scoreboard. Nobody owes anybody anything because of a role on this site.
13. Data may be wrong
Prices, market capitalisations, volumes, holder counts and every other figure shown here come from third-party providers including Dexscreener, Blockscout and Robinhood Chain RPC endpoints. They may be delayed, incomplete, inaccurate or unavailable. Staff counts, follower counts, rankings and the size of a building are computed from the site's own records and can be wrong too. No figure on this site is warranted to be correct. Verify on chain before acting on anything. We are not liable for any decision you make based on a number shown here.
14. The chain itself carries risk
Robinhood Chain is a young Arbitrum Orbit rollup. Its critical contracts can be upgraded, its operator can change how it works, and it ships a transaction filter: an authorised party can void a transaction so that it is included in a block with no effect and the gas burned, and the chain operator reserves the right to block specific wallet addresses. Tokens connected to companies here live entirely inside that system. None of it is under this site's control, and a token, its pool or your ability to transact can be affected by it without warning. Any loss caused by the chain, its operator, its filter or its upgrades is not ours to bear.
15. Third-party services
The site depends on services it does not run: the chain and its RPC nodes, the Pons launchpad, wallet software, block explorers including Blockscout, market data providers including Dexscreener, hosting and content delivery on Vercel, and file storage on Vercel Blob. Any of them can fail, change, go offline, return wrong data, lose data, or be compromised at any time. We do not control them, do not guarantee them, and are not liable for anything they do or fail to do, including any loss that results.
16. Wallet and security are yours
You are solely responsible for your wallet, your private keys, your seed phrase and everything done with your address. We never receive them and can never recover them. If you approve a malicious contract elsewhere, sign a transaction you should not have, lose your keys, or are phished, that is outside this site and outside our control, and any resulting loss is yours alone. A session on this site belongs to whoever holds the wallet that signed in; protect it accordingly.
17. Game mechanics are not financial events
Plots, buildings, floors, standing, rankings, staff counts, followers, hiring, roles and every other mechanic are entertainment. Climbing a board moves a number in a scoreboard. It transfers no token, moves no balance, creates no entitlement and gives no claim on anything owned by anyone else. A plot is a record in a database, not property. Losing a position costs you nothing that this site controls and entitles you to nothing from us.
18. Risk of total loss
Tokens launched on a public launchpad are extremely high risk. They are volatile, frequently illiquid, and commonly go to zero. Anyone can abandon a project at any time. Liquidity can be withdrawn, tokens can be dumped, and pools can be drained by people we have no relationship with. You may lose everything you spend, including all fees. Nothing on this site is financial, investment, legal or tax advice, and nothing here is an offer or solicitation to buy or sell anything. You transact entirely at your own risk.
19. No warranty
The site and everything on it are provided "as is" and "as available", with all faults and without warranty of any kind, whether express, implied or statutory, to the maximum extent permitted by law. We expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the site will be uninterrupted, timely, secure, error-free, accurate, or free of viruses or harmful components, and we do not warrant any result obtained from using it.
20. No liability for any loss
To the maximum extent permitted by applicable law, in no event will the operators, their contributors, affiliates, officers, agents, developers or anyone connected with building or running this site be liable to you or to anyone else for any loss or damage of any kind, whether direct, indirect, incidental, special, consequential, exemplary or punitive, arising out of or in any way connected with the site or these terms, even if advised of the possibility of such loss. This exclusion applies to, without limitation:
(a) any loss of money, tokens, cryptocurrency, digital assets or their value; (b) any gas fees, network fees, launch fees, trading fees, slippage, or any other fee or cost of any kind, including on failed, reverted, filtered or voided transactions; (c) any loss from a token you or anyone else launched, connected, bought, sold or held; (d) any loss from a token going to zero, being abandoned, losing liquidity, or being manipulated; (e) any loss from price movements, market conditions or illiquidity; (f) any loss from inaccurate, delayed or unavailable data; (g) any loss caused by the chain, its operator, its transaction filter, its upgrades, its downtime, or your address being blocked; (h) any loss caused by any third-party service, wallet, contract, launchpad, storage or provider; (i) any loss from unauthorised access to your wallet, keys, session or account; (j) any loss from the acts, omissions or content of any other user, including any company they founded, any role they gave or took away, and anything they posted; (k) any loss from a plot being released, a company being removed, content being deleted, a wallet being banned, or the site being changed or shut down; and (l) any loss from any bug, error, outage, exploit or interruption of the site.
We are not paying for tokens people launch, for tokens people buy, for fees people spend, or for losses of any kind. Those are yours. If any liability is nonetheless found, our total aggregate liability to you for all claims combined will not exceed the greater of the amount you actually paid us to use the site (which is zero) or one US dollar (USD 1.00).
21. You assume all risk
You knowingly and voluntarily assume all risks associated with using the site, launching, connecting or acquiring tokens, founding or joining a company, posting content, and interacting with the chain and any third-party service. You acknowledge that you are using experimental software and an experimental chain and that you may lose everything you commit.
22. Release
You release the operators and everyone connected with building or running the site from any and all claims, demands, disputes, causes of action, damages and losses, known or unknown, arising out of or connected with your use of the site, any token, any transaction, any fee, any content, or the conduct of any other user. Where a jurisdiction does not permit the release of unknown claims, you waive the benefit of any law that would otherwise preserve them to the fullest extent permitted.
23. Indemnity
You will indemnify, defend and hold harmless the operators and everyone connected with the site from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or connected with your use of the site, any token you launch, connect or trade, any fee you incur, any content you post, any company name or logo you choose, your breach of these terms, your violation of any law, or your infringement of anyone's rights.
24. Eligibility and sanctions
You are responsible for complying with the laws that apply to you, including tax. If interacting with digital assets is restricted or prohibited where you live, do not use this site. You must be of legal age in your jurisdiction, and you must not be a person, or in a place, subject to sanctions or other legal restriction that would make your use unlawful. You are responsible for determining and paying any tax on anything you do.
25. No advice and no fiduciary duty
Nothing on this site is financial, investment, legal, accounting or tax advice, and nothing on it creates any advisory, fiduciary or agency relationship between you and the operators. Rankings, standings and the size of a building are not opinions on value. You are solely responsible for your own decisions and for obtaining any professional advice you need.
26. Corrections, moderation and availability
The operators may at any time and without notice: release a plot, remove a company, delete a logo, a description, a message or an announcement, change a role, correct or wipe any record, suspend or ban any wallet from site features, change any rule or mechanic, or shut the site down permanently. A plot is not property, carries no entitlement, and can end at any time. There is no promise of uptime, of data retention, or of the site continuing to exist, and nothing is owed to you if any of it ends.
27. Intellectual property
The site's software, design, text and marks belong to the operators or their licensors. You may use the site as offered and may not copy, scrape at scale, reverse engineer, resell or misrepresent it. Your own content remains yours, subject to the licence in clause 11. Names and marks belonging to others remain theirs, as clause 10 says.
28. Severability and no waiver
If any part of these terms is held unenforceable, the rest remains in full force, and the unenforceable part is limited or removed to the minimum extent necessary. Our failure to enforce any right is not a waiver of it.
29. Governing law
These terms are governed by the law of the jurisdiction in which the operators are established, without regard to its conflict-of-law rules, and any dispute will be brought exclusively in the courts of that jurisdiction, to the extent the law there allows. Where the law of your own place gives you rights that cannot be excluded, those rights are not affected.
30. Changes
These terms may change at any time. Continued use after a change means you accept the revised terms. It is your responsibility to review them. The version on this page is the version in force.
